Please read these Terms and Conditions (“Terms”) carefully before accessing or using the AURAˣˣ or ALPHAˣʸ websites (collectively, the “Sites”) or purchasing any products offered thereon. These Terms constitute a legally binding agreement between you (“Buyer,” “you,” or “your”) and JLKC Enterprises LLC (“we,” “our,” or “us”), the operator of the AURAˣˣ and ALPHAˣʸ brands.

By accessing the Sites, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must discontinue use of the Sites immediately.

We reserve the right to update, modify, or replace these Terms at any time. The most current version will always be posted on this page. Your continued use of the Sites following any update constitutes acceptance of the revised Terms.

1. Research Use Only (RUO) Designation

All products sold by AURAˣˣ and ALPHAˣʸ are intended exclusively for legitimate laboratory research and in vitro scientific investigation (“Research Use Only” or “RUO”). This designation is fundamental to our business and governs all aspects of how our products are offered, sold, fulfilled, and supported.

Our products are not intended for, and must not be used for:

• Human consumption, ingestion, or self-administration
• Veterinary or animal use of any kind
• Therapeutic, medical, or clinical treatment
• Diagnostic purposes
• Any application outside of lawful laboratory research

AURAˣˣ and ALPHAˣʸ products have not been evaluated by the U.S. Food and Drug Administration (FDA) for safety, efficacy, or fitness for any clinical, therapeutic, or diagnostic purpose. Nothing on our Sites, in our product documentation, or in any communication from us constitutes medical, pharmaceutical, veterinary, or scientific advice.

Any misuse of our products in violation of their Research Use Only designation is a breach of these Terms and may result in cancellation of your account and order privileges, and may expose you to legal consequences under applicable law.

2. Purchaser Eligibility and Representations

By placing an order, you expressly represent, warrant, and acknowledge the following:

• You are at least 21 years of age and have the legal capacity to enter into a binding agreement.
• You are a qualified researcher, licensed scientist, laboratory professional, or are otherwise affiliated with a legitimate research institution, university, biotechnology company, or other organization engaged in lawful scientific research.
• You possess the knowledge, training, and authorization required to safely acquire, handle, store, transport, and dispose of research compounds and peptides in compliance with all applicable laws and institutional policies.
• All products purchased will be used solely for legitimate laboratory and in vitro research purposes.
• You will not administer, ingest, inject, or apply any product to yourself, to any other person, or to any animal.
• You will not resell, redistribute, or transfer any product for consumption, therapeutic application, or any use inconsistent with the Research Use Only designation.
• You are solely responsible for ensuring that your purchase, receipt, possession, storage, handling, transportation, and use of any product complies with all applicable federal, state, and local laws, regulations, and institutional policies.
• You understand and accept that AURAˣˣ and ALPHAˣʸ reserve the right to refuse or cancel any order that appears inconsistent with the Research Use Only purpose of our products.

These representations are a condition of purchase. By completing a transaction, you affirm that all of the above statements are true and accurate.

3. Product Information and Analytical Testing

AURAˣˣ and ALPHAˣʸ are committed to analytical transparency, scientific integrity, and documented quality. We make every effort to ensure that product descriptions, labeling, purity data, and supporting documentation are accurate and current.

Where applicable, products are independently tested using established analytical methodologies, which may include High-Performance Liquid Chromatography (HPLC), Liquid Chromatography–Mass Spectrometry (LC-MS), Fourier-Transform Infrared Spectroscopy (FTIR), and other appropriate techniques selected to verify identity, purity, and batch consistency. Batch-specific Certificates of Analysis (COAs) are provided whenever applicable and contain the relevant analytical findings for the specific lot received.

Notwithstanding the above, we make no express or implied warranties regarding:

• The completeness or absolute accuracy of any product information, description, or analytical data provided;
• The suitability of any product for a specific research application or experimental purpose;
• Any results, outcomes, or findings obtained through the use of our products; or
• The fitness of any product for any particular purpose beyond its Research Use Only designation.

Certificates of Analysis are provided for informational and transparency purposes only. They document the analytical characteristics of a specific batch and do not constitute a warranty of safety, efficacy, sterility, or suitability for human or veterinary use.

4. Orders and Payment

All orders are subject to acceptance, verification, and product availability. Submission of an order does not constitute a binding agreement until we confirm acceptance. We reserve the right to refuse, cancel, or modify any order for any reason, including but not limited to:

• Product unavailability or inventory discrepancies;
• Pricing errors or listing inaccuracies;
• Suspected misuse, fraudulent activity, or orders inconsistent with our Research Use Only policy;
• Failure to satisfy purchaser eligibility requirements; or
• Compliance or regulatory concerns.

All prices are listed in U.S. Dollars (USD) and are subject to change without notice. Payment must be made at the time of order using the approved payment methods available at checkout. By providing payment information, you represent and warrant that you are authorized to use the payment method submitted and that the information provided is accurate and complete.

We reserve the right to cancel any order and issue a full refund if we are unable to process payment, verify purchaser eligibility, or fulfill the order in compliance with applicable law or our policies.

5. Quantity Discounts and Promotions

AURAˣˣ and ALPHAˣʸ offer automatic quantity discounts through our Research Savings Program, applied at checkout when qualifying purchase thresholds are met for the same product within a single order. No coupon codes are required for eligible discounts.

All promotions, discounts, and free shipping offers are subject to these Terms and may be modified, suspended, or discontinued at any time without notice. Discounts cannot be combined unless explicitly stated and are not retroactively applicable to prior orders.

6. Shipping and Delivery

Shipping and delivery practices are governed by our Shipping & Returns Policy, which is incorporated into these Terms by reference. Key terms include:

• Most in-stock orders are processed within one (1) business day, excluding weekends and holidays.
• Free standard shipping is available on qualifying U.S. orders over $100.
• Where appropriate, orders are fulfilled using cold-chain and temperature-controlled packaging to help preserve product integrity during transit.
• All risk of loss transfers to the Buyer upon handoff to the carrier.
• We do not ship to P.O. boxes or to locations where distribution of RUO materials is prohibited by applicable law.

We are not responsible for delays, losses, or damages caused by the carrier once an order has been dispatched. Please refer to our Shipping & Returns Policy for full details.

7. Refunds and Returns

Due to the Research Use Only nature of our products, their temperature sensitivity, and the requirements of responsible RUO distribution, all sales are final once an order has been shipped. We do not accept returns or issue refunds except in cases involving verified shipping damage, fulfillment errors, or documented manufacturing defects reported within 48 hours of confirmed delivery.

8. Limitation of Liability

To the fullest extent permitted by applicable law, JLKC Enterprises LLC, its officers, directors, employees, agents, affiliates, suppliers, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages of any kind, including but not limited to:

• Loss of revenue, profits, business, data, or goodwill;
• Personal injury, property damage, or harm to any person or animal resulting from the use, misuse, or improper handling of any product;
• Errors, omissions, or inaccuracies in product information, labeling, or analytical documentation;
• Shipping delays, carrier losses, or product degradation during transit; or
• Unauthorized access to or alteration of your account or data.

All products are sold “as is” and “as available,” without warranty of any kind, either express or implied, including without limitation any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

In no event shall our total cumulative liability to you for any claim arising out of or related to these Terms or your purchase exceed the total amount paid by you for the specific order giving rise to the claim.

9. Indemnification

By purchasing from AURAˣˣ or ALPHAˣʸ, Buyer agrees to indemnify, defend, and hold harmless JLKC Enterprises LLC and its officers, directors, employees, agents, affiliates, suppliers, and payment processors from and against any and all claims, demands, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or related to:

• (a) Buyer’s purchase, receipt, use, misuse, handling, storage, transportation, or disposal of any product;
• (b) Buyer’s breach of these Terms or any representation or warranty made herein;
• (c) Buyer’s violation of any applicable federal, state, or local law, regulation, or third-party right;
• (d) Any injury, illness, death, or harm — whether to persons, animals, or property — resulting directly or indirectly from Buyer’s acquisition or use of any product; or
• (e) Any chargeback, fraudulent payment, or claim submitted by Buyer in bad faith.

This indemnification obligation is independent of, and survives the termination of, these Terms and Buyer’s relationship with AURAˣˣ and ALPHAˣʸ.

10. Compliance with Applicable Law

It is the sole responsibility of the Buyer to determine whether the purchase, receipt, possession, storage, handling, and use of any product is lawful in their jurisdiction and compliant with all applicable federal, state, local, and institutional regulations governing research materials. AURAˣˣ and ALPHAˣʸ make no representation that any product is legal to purchase or possess in any particular jurisdiction.

We reserve the right to decline any order where fulfillment would, in our judgment, conflict with applicable law or our compliance obligations. Orders declined for compliance reasons will be cancelled and fully refunded.

11. Intellectual Property

All content on the Sites — including but not limited to text, graphics, photographs, logos, trademarks, product names, brand elements, and site design — is the property of JLKC Enterprises LLC or its licensors and is protected by applicable intellectual property laws. The AURAˣˣ Quality Standard™ and associated brand elements are proprietary marks of JLKC Enterprises LLC.

You may not copy, reproduce, modify, distribute, republish, display, transmit, or exploit any content from the Sites without our prior written consent. Unauthorized use of any intellectual property owned by or licensed to us may result in legal action.

12. Privacy

Your use of the Sites is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Sites or placing an order, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy. Please review our Privacy Policy carefully before providing any personal information.

13. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to your use of the Sites or purchase of our products shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-law principles.

Any legal action or proceeding arising under or related to these Terms shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

Before initiating any formal legal proceeding, you agree to contact us at info@aura-xx.com to attempt to resolve the matter informally. We will make a good-faith effort to resolve any concern or dispute within thirty (30) days of receiving written notice.

14. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible. The remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and Shipping & Returns Policy, constitute the entire agreement between you and JLKC Enterprises LLC with respect to your use of the Sites and purchase of our products, and supersede all prior agreements, representations, or understandings between the parties relating to the same subject matter.
